Our team is familiar with managing transactions of all sizes, from small, local real estate transactions to large, multi-asset transactions involving multiple states.

Our attorneys counsel owners, developers and users with respect to all elements of the real estate development process, including due diligence, acquisition, land development, design management, construction, financing, leasing, operation, and disposition.

Our representations in this area range from commercial to multi-family projects, in both metropolitan and suburban settings. They include high-rise condominiums, apartment buildings, office buildings and shopping centers.

We are proficient in a variety of lending transactions, including negotiating and documenting both standard and complex real estate financing transactions. We draw on our background as both lender’s and borrower’s counsel to bring creative solutions to the issues that inevitably arise during any loan negotiation.

Our attorneys advocate for clients in connection with structuring, negotiating and documenting joint ventures. On these matters, we work closely with tax attorneys to develop and implement tax-efficient joint venture structures.

Our experiences in this area are as diverse as representing a regional investor in a new start-up company to representing national developers in their joint ventures with prominent Wall Street investors.

Our real estate lawyers guide owners/developers in their construction projects throughout the United States. Our attorneys have experience analyzing and providing advice to clients with respect to selecting among the various construction delivery systems with the goal of minimizing liability and enhancing project revenue.

We also have familiarity drafting and negotiating construction and design documents, including AIA documents, as well as assisting clients in developing their own construction and design contracts. Well-written contracts cannot prevent problems from occurring, but they can aid greatly in minimizing disputes when they arise.

Our attorneys have assisted landlords, tenants, investors, subtenants, management companies and real estate brokers in all aspects of leasing, including structuring the transaction, lease negotiations, build-out and occupancy. We undertake a pragmatic approach to leasing and our ability to negotiate and document lease transactions in an economical fashion.

In addition, our real estate team has successfully negotiated franchise and management agreements on behalf of franchisee clients. We work closely on their behalf with major national franchisors, including a global doughnut company and coffeehouse, on transitioning franchisees and resolving disputes.
