A substantial part of our practice involves representing buyers, sellers and other interested parties in connection with the negotiation, documentation and completion of mergers, acquisitions and divestitures. We have handled transactions valued from a few hundred thousand dollars to more than $50,000,000 in many different industries.

Our lawyers have experience in a broad spectrum of public and private securities offerings, as well as in providing state and federal securities law compliance services to our public company clients. We have represented companies in all aspects of public securities offerings, including structuring the offering, preparing disclosure documents, and complying with federal and state securities laws. Our lawyers' experience at both national law firms and at the Securities and Exchange Commission provides us with a level of securities law expertise not often seen in firms of our size.
We represent private investors, venture capital funds, private equity funds and issuers in connection with venture capital transactions and private securities offerings, including the preparation of private placement memoranda and related offering materials in real estate-related and other private placements. Our experience includes representing:
- A major New Jersey real estate investment company in the structuring and preparation of offering materials for a fund that was formed to purchase over $750,000,000 of commercial real estate.
- A New York-based hedge fund in the formation of an investment vehicle targeting non-rated tax-exempt fixed income securities of public and private domestic issuers.

Secured and Unsecured Financing
We routinely represent corporate borrowers in asset based, cash flow and other secured and unsecured commercial financing arrangements. These transactions include the extension of credit to finance real estate purchases, business acquisitions, reorganizations and highly leveraged transactions, as well as loan modifications, restructurings and workouts.
We advise our clients throughout the transaction, from the structuring of a proposed deal through the negotiation, documentation and administration of the credit facilities. We recently represented a public company in a complex transaction involving the issuance of convertible debentures to a Toronto-based investment company, and the simultaneous restructuring of the client's debt facilities with a major Canadian bank.

As general business counsel, we regularly counsel clients in connection with corporate strategy and governance, tax matters, employee relations and the resolution of business disputes. We are routinely involved in the preparation of commercial and business agreements, and the formation and reorganization of all types of business entities including corporations, limited partnerships and limited liability companies.
