Acquisition and Development
Acquisition and Development
We represent owners, developers and users with respect to all elements of the real estate development process, including due diligence, acquisition, land development, design management, construction, financing, leasing, operation, and disposition. Our representations in this area range from commercial to multi-family projects in both metropolitan and suburban settings, and include high-rise condominiums, apartment buildings, office buildings and shopping centers.

We have extensive experience in a variety of lending transactions including negotiating and documenting both standard and exceedingly complex real estate financing transactions. We draw on our experience as both lender's and borrower's counsel to bring creative solutions to the issues that inevitably arise during any loan negotiation.
We are in our element representing borrowers in complex securitized senior and mezzanine financings where Standard & Poor's rating requirements impose additional hurdles to the consummation of the financing. In these transactions, it is common for us to find ourselves across the table from a prominent national law firm that has heavily staffed the deal, resulting in a fee that is, predictably, significantly more than ours.

Joint Venture
Representing our clients in connection with structuring, negotiating and documenting joint ventures comprises a large part of our real estate and corporate practices. Our real estate and corporate lawyers work closely with our tax group to develop and implement tax efficient joint venture structures. Our experiences in this area are as diverse as representing a regional investor in a new start-up company to representing national developers in their joint ventures with prominent Wall Street investors.
Construction
Construction
We represent owners/developers with their construction projects throughout the United States. We have experience analyzing and providing advice to our clients with respect to selecting among the various construction delivery systems with the goal of minimizing liability and enhancing project revenue.
We also have extensive experience drafting and negotiating construction and design documents, including AIA documents as well as assisting many of our clients to develop their own construction and design contracts. Our experience has taught us that well written contracts cannot prevent problems from occurring, but can aid greatly in minimizing disputes when they do arise.
